In the event of a conflict between this Addendum and the Terms, this Addendum shall control.

Subscriber is only permitted to use the Payments Services via the Service to the extent you have been given permission by the healthcare practice or other legal entity or organization (collectively, the "Practice") on whose behalf you access and use the Service as an authorized user for professional purposes on your Practice's behalf. In addition to these Terms, you are required to comply with any instructions, requirements, or policies of your Practice in connection with Subscriber's use of the Payments Services to the extent they do not conflict with these Terms.

1. PAYMENT PLATFORM ACCESS. Subscriber is responsible for securing and maintaining the confidentiality of any login or access credentials to the Payments Services and/or the Processor's payments platform through which such services are provided (the “Payments Platform”). Subscriber agrees to notify TherapyAppointment immediately if Subscriber believes the confidentiality of such credentials has been compromised or if Subscriber suspects unauthorized use of such credentials.

TherapyAppointment will not be liable for any loss or damage arising from Subscriber's failure to comply with this Section.

2. USE OF FINIX PAYMENTS PLATFORM. This Section 2 applies in the event Subscriber uses the Finix Payments, Inc. (“Finix”) Payments Platform and/or Payments Services (collectively, the “Finix Platform”).

a. Finix Platform. Subscriber agrees to comply with the Finix Terms of Service (located here). The Finix Terms of Service and Privacy Policy (located here) may be updated from time to time in Finix's sole discretion and without notice. Subscriber may only access and use the Finix Platform solely for the purpose of processing transactions with Subscriber's customers. Finix shall not be liable for Subscriber's damages, whether direct or indirect, incidental, or consequential, arising in connection with the TherapyAppointment Terms and the Subscriber's use of the Finix Platform.

With regard to services it provides to Subscriber, Finix disclaims any warranty of any kind, including without limitation any warranty of title, merchantability, fitness for a particular purpose, or non-infringement. TherapyAppointment will not be liable for any loss or damage arising from Subscriber's failure to comply with this paragraph.

c. Reconciliation of Account. Subscriber is solely responsible for reconciling information in the Dashboard with its transaction records and identifying any errors. Subscriber agrees to promptly notify Finix (or TherapyAppointment if applicable) of any errors. As between TherapyAppointment and Subscriber, Subscriber's failure to report an error within forty five (45) days of it first appearing in the Dashboard will be deemed a waiver of any right to amounts that may be owed to Subscriber in connection with such error.

In the event of any non-compliance by Subscriber with PCI DSS or Payment Network Rules, Subscriber shall cooperate with TherapyAppointment to promptly remediate any such non-compliance and provide notice to TherapyAppointment when such remediation is complete. The amount of any refund must not exceed the amount of the original transaction except for any amount which Subscriber agrees to reimburse its customer for return postage. Subscriber shall not accept any payment from a customer as consideration for issuing a refund.

7. CARD ACCOUNT UPDATER SERVICES. If Subscriber participates in card account updater services made available via a Processor's Payments Services (“Account Updater Services”), Subscriber agrees to do the following:

9. TRANSACTION DISPUTES.

a. Indemnification; Cooperation. Subscriber agrees that in the event Subscriber's transactions via the Payments Services are subject to any chargebacks, refunds, adjustments, ACH returns, or other disputes (collectively, “Disputes”), Subscriber shall indemnify, defend and hold harmless TherapyAppointment for any losses, charges, claims and or fees (including, without limitation, reasonable attorney fees) stemming directly or indirectly from such Disputes. If Subscriber experiences any chargebacks, Subscriber shall communicate and cooperate with TherapyAppointment to resolve the chargeback in accordance with the Payment Network Rules and the Terms.

b. Communications with Processor. Subscriber authorizes TherapyAppointment to communicate with and transmit information to Subscriber's Processor regarding Subscriber's transactions, the Payment Platform and related matters either (i) directly or (ii) via the Processor's Payment Platform, including, without limitation, with respect to managing Disputes. Subscriber is responsible for any inaccuracy or incompleteness in the information it submits to the Payment Platform, either directly or through TherapyAppointment on Subscriber's behalf.

Subscriber understands and agrees that while TherapyAppointment can relay information to the Processor regarding Disputes, TherapyAppointment does not have authority to decide/arbitrate Disputes.

c. Notice. Subscriber shall promptly notify TherapyAppointment in the event (i) any individual Disputes exceed any threshold contained in the Documentation or (ii) all Disputes in the aggregate exceed any threshold set forth in the Documentation.

10. PAYMENT PLATFORM INTEGRATION. Subscriber authorizes TherapyAppointment to use Subscriber's information and data (including without limitation, information and data regarding Subscriber customers and/or transactions) in integrating Payments Services and the applicable Processor's Payments Platform into the TherapyAppointment platform.

11. LIMITATION OF LIABILITY. In the event of any claims, suits, or other proceedings brought between TherapyAppointment and Subscriber under the Terms, Subscriber's Processor shall not have any liability except as otherwise required by law.

12. FORCE MAJEURE. TherapyAppointment shall not be liable for any default or delay in the performance of its obligations under the Terms if and to the extent such default or delay is caused, directly or indirectly, by (i) fire, flood, elements of nature or other acts of God; (ii) any outbreak or escalation of hostilities, war, riots or civil disorders in any country; (iii) any act or omission of Subscriber, a Processor, or any government authority; (iv) any labor disputes (whether or not employees' demands are reasonable or within the party's power to satisfy); (v) failures or fluctuations in telecommunications or other equipment; or (vi) or any other cause whatever beyond its reasonable control.

13. REQUIREMENTS FOR CARD-PRESENT TRANSACTIONS. Subscriber agrees to comply with the Payment Network Rules, Applicable Law and Documentation in connection with (i) its accepting transactions made at a physical point of sale (“Card-Present Transactions”) for the sale of goods or services, or the receipt of charitable donations, and (ii) its operation of POS Equipment (defined below). In addition to any requirements set forth in the Documentation, for Card-Present Transactions, Subscriber shall ensure that the following actions are performed at the point of sale:

a. Verify that the Card is legitimate and valid and not visibly altered or mutilated;

b. Capture Card data using only the POS Equipment by inserting the Card (chip card), swiping the Card (magnetic stripe), or tapping/waving the Card (contactless);

e. Verify that the Card number and expiration date on the Card are the same as on the transaction receipt and the number displayed on the POS Equipment;

14. Subscriber shall ensure that it does not: (i) require a Cardholder to complete a postcard or similar device that includes the Cardholder account number, Card expiration date, signature or any other Card account data in plain view when mailed; (ii) require a Cardholder to provide fingerprints or other personal information, such as address, license, telephone number or social security number as a condition for honoring a Card, unless required to do so by the Payment Network Rules; or (iii) make a photocopy of a Card or require the Cardholder to provide a photocopy or facsimile of a Card unless the photocopy or facsimile is required by a Payment Network or the financial institution working with the Processor in conjunction with Payments Services.

15. POS EQUIPMENT RESTRICTIONS. Subscriber shall not, and shall not enable or permit other third party to:

a. where point of sale equipment (“POS Equipment”) is registered to a location, move such POS Equipment to a new location without registering the device to its new location and downloading the local device configuration;

For the avoidance of doubt, restricted activities include the use of the POS Equipment in or for the benefit of a country, organization, entity, or person embargoed, blocked or on a sanctions list identified by any government, government body or supranational body; or

e. 16. INFORMATION SHARING AND DATA SECURITY. TherapyAppointment receives information about Subscriber from Subscriber's Processor, such as information about Subscriber's business, owners, officers, data security arrangements and transactions. TherapyAppointment may share Subscriber's information (including, without limitation, information about Subscriber's transactions with its customers) with Subscriber's Processor and other third parties for any lawful purpose, including the following: to assist in the processing of payments, to provide support with regard to disputed transactions, to prevent or investigate fraud and/or security issues, to comply with Applicable Law and Payment Network Rules, to enforce the Terms of Service, and as otherwise required in support of the Payment Services.

If Subscriber's Processor requires information or documentation from or about Subscriber, Subscriber agrees to work with TherapyAppointment to securely gather and promptly provide such documentation or information to the Processor, including without limitation information related to onboarding, PCI-DSS requirements, and transaction monitoring. Subscriber acknowledges and agrees that it is responsible for completing the PCI-DSS Level 4 Self-Assessment Questionnaire within the required time period specified by Payment Network Rules; for the avoidance of doubt, Subscriber will be liable for any PCI Non-Compliance Fees imposed on TherapyAppointment as a result of Subscriber's failure to meet this obligation. TherapyAppointment maintains technical, physical and administrative security measures designed to provide reasonable protection for information.

17. INDEMNIFICATION. Subscriber agrees to indemnify, defend, and hold harmless TherapyAppointment, its affiliates under common control, and its and their respective employees, officers, agents, principals, successors, and assigns (the “Indemnitees”) from and against any and all damages, fines, fees, costs, claim, suit, or other proceeding made or brought against any of the Indemnitees arising out of or resulting from real or claimed breaches of security and compromising of transaction data originating within any POS Equipment in Subscriber's (or its agents') custody caused by a failure to comply with Applicable Law, the Payment Network Rules, or the Documentation. Any indemnification obligations set forth in the Addendum shall be in addition to Subscriber's indemnification obligations set forth in Section 16 of the Terms (titled “Subscriber Indemnification”).

18. SETOFF. TherapyAppointment may set off any amounts that Subscriber owes TherapyAppointment against any sums due Subscriber under the Terms, including, without limitation, by directing Subscriber’s Processor to deduct such amounts from settlement funds owed to Subscriber.
